Sean Clayton's practice focuses on the representation of public and private growth companies in general corporate matters, as well as a wide range of transactions, including public offerings, venture capital financings and M&A. Sean advises public companies with respect to securities laws and SEC reporting obligations, disclosure issues and corporate governance matters. Past and current public company clients include ACADIA Pharmaceuticals, Amylin Pharmaceuticals, Arena Pharmaceuticals, Flexion Therapeutics, Horizon Pharma, Insys Therapeutics, MannKind, Mirati Therapeutics, Optimer Pharmaceuticals, TRACON Pharmaceuticals and Vical. Sean also has extensive experience in public and private financing transactions, representing both companies and investment banking firms. Mr. File has served as Evofem Biosciences’ Chief Financial Officer since April 2015. During that time, he has led Evofem’s financial operations and growth from a private entity to a Nasdaq listed public company while raising approximately $250m in capital. He has approximately 26 years of diverse accounting and finance experience within a variety of both public and private biotechnology and biopharmaceutical companies and over 10 years specifically within the women’s health market. Earlier in his career Mr. File worked for approximately ten years in public accounting, primarily with Arthur Andersen LLP, where he worked with a variety of clients assisting with attestation and periodic reporting requirements, public offerings and acquisitions. Mr. File graduated from Central Washington University with a Bachelor of Science in Accounting and Business Administration and is a Certified Public Accountant (inactive).
Alfred joined HSBC in London in 2014 and relocated to New York to build out the Equity-Linked and Strategic Equity Financing franchise in the Americas in 2016. Alfred was later promoted to lead HSBC’s ECM franchise in North America.
Throughout his 18-year investment banking career, Alfred has acquired a broad range of transactional experience and expertise in financing, risk management and structuring of equity based solutions for corporates across geographies.
Prior to joining HSBC, Alfred spent the last 9 years in the Strategic Equity and Equity Capital Markets teams at Goldman Sachs. Prior to Goldman, Alfred spent 3 years at Deutsche Bank in the ECM team focusing on the French region.
Alfred graduated as a Civil Engineer and has an MBA in Finance from the ESSEC Business School in France.
Ken leads the West Subchapter C and Turnaround and Restructuring Services practices and specializes in corporate tax advisory services inclusive of tax loss planning, complex corporate transaction planning, structuring, consolidated return planning, bankruptcies, debt workouts, M&A services, and post-acquisition integration. Ken serves clients across industries that span from development stage and pre-IPO stage enterprises to corporate clients in the Fortune 500. He is a national leader in US federal tax attribute preservation and planning inclusive of Section 382 services, structuring, planning and analysis, and IRS ruling assistance.
Lisa serves as the West Region Life Science Leader for tax. She has more than 29 years of experience leading the tax engagements of public and private companies in the life sciences industry. Lisa has extensive experience in income tax accounting, net operating loss planning, including Section 382 studies, stock options, research and development credits, collaboration agreements and international and multistate issue impacting the life sciences industry.
Valerie began public accounting career in corporate tax in the Silicon Valley in 2007. She moved to San Diego in 2013 and has been with Deloitte San Diego since March 2019. Valerie has provided services for a large variety of industries emphasizing in the Bio/Life Science industry within San Diego. Her industry experience also includes technology, utilities, gaming companies, and P&C insurance, as well as significant ASC 740 income tax accounting experience including private & public audits.
