Jason is a vice president in the Consumer Retail Group in the Investment Banking Division at Goldman Sachs. Throughout his career, he has advised on over $40 billion of deals ranging across M&A transactions, IPOs, activism defense and a variety of other financing and structured solutions.
Prior to joining Goldman Sachs, Jason worked in the Consumer Retail Group at Barclays, and before that was at AGC Partners.
Jason earned a BA in Economics from Colgate University.
Tim is a Vice President in Goldman Sachs’ Investment Banking Division focused on Equity Capital Markets for Consumer and Technology Companies. In his eight years at the firm, Tim has led 100+ financings for clients including Warby Parker, Sweetgreen, On Running, Clear Secure, Olaplex and Peloton, among others.
Prior to joining Goldman Sachs, Tim worked in the Global Markets Division at Barclays Capital.
Tim earned a BA in Economics from Trinity College in 2012.
Nicole is a partner in Cooley's public companies and capital markets practices and a member of the firm's board of directors. She practices corporate and securities law, with an emphasis on the representation of late-stage private and public companies and investment banks in capital markets transactions as well as the representation of publicly traded companies. She has counseled public and private company clients in a full range of general corporate and corporate and securities matters, including public offerings, strategic corporate relationships, SEC reporting and compliance and corporate governance matters.
Mark currently leads Deloitte & Touche's Tri-State IPO Readiness practice. Since 2000, he has helped many companies navigate the IPO/SPAC process and has provided guidance and support on many acquisitions, carve outs and the registration statement processes. He serves as an audit partner and has extensive accounting and auditing experience, working with companies from varied industries, including music, technology, ad-tech, media, health care providers, and consumer business retailers and distributors. He also plays a leading role in Deloitte’s Tri-State venture backed growth practice.
Mark was previously a member of the Global Deloitte Private Audit & Assurance Leadership team and was the National Managing Partner of Deloitte Private Enterprises, which focuses on serving private clients of all sizes and addressing the opportunities and challenges unique to private businesses.
Jonathan is a Senior Manager in Deloitte & Touche LLP’s Accounting & Reporting Advisory practice. He has more than 11 years of experience serving both public and private companies. Jonathan completed a three-year rotation in the SEC Services Group within Deloitte’s National Office and has extensive experience with registration statements including initial public offerings, follow-on offerings, mergers, special purpose acquisition company transactions, debt exchanges and periodic filings (e.g. Form 10-K and 10-Q). He has a strong background in Regulation S-X and the form and content of financial statements. He has advised companies on comment letters received from the SEC as well as waiver letters submitted to the SEC.
Jonathan has co-authored various publications and interpretative guidance related to the SEC’s rules and regulations and has experience presenting SEC updates and trainings to engagement teams, clients and non-client audiences.
Rupa represents issuers and investment banks in capital markets transactions spanning from initial public offerings, follow-on equity offerings, rights offerings and SPACs to high-yield and investment-grade debt offerings, liability management transactions and restructurings. She counsels public companies and their boards on a wide range of securities and corporate matters, including SEC reporting and compliance, corporate governance and strategic transactions. She has worked with clients across a diverse set of industries, including technology, healthcare, insurance and consumer products.
Bill has more than 14 years of audit and assurance experience providing both integrated and non-integrated audits for emerging private companies and SEC global public companies, primarily in the technology, media, telecom, and consumer products industries. He has a strong background managing audits under U.S. GAAP, SEC-reporting requirements, and Sarbanes-Oxley standards. Bill advises management and internal finance teams on complex accounting matters, including software and SaaS revenue recognition, capitalization of development costs, equity transactions, control-related issues, and other technical matters in connection with initial public offerings.
